1. Parties & Scope
This Affiliate Agreement is between you ("Affiliate") and Propertysuite L.L.C-FZ ("Agency"). It governs the introduction of prospective clients ("Referred Clients") by the Affiliate to the Agency for real estate and adjacent services in the United Arab Emirates.
2. Commission Structure
- Qualified Referral: 25% of the Agency's Net Agent Commission. A referral is qualified when the Affiliate submits a complete Client Search Profile via the portal before first contact.
- Non-Qualified Referral: 10% of the Agency's Net Agent Commission. A simple contact handoff (name + contact details only) qualifies for the reduced rate.
- Net Agent Commission means the commission actually received by the Agency, after VAT, portal/platform fees, and any developer clawbacks.
3. First Transaction Only (Real Estate)
For real estate transactions, commission is paid on the first completed transaction between the Agency and the Referred Client only. Subsequent transactions with the same client do not generate further real estate commission.
4. Lifetime Services
For recurring or service-based engagements (Power of Attorney, insurance brokerage, property management, holiday letting, etc.) the Agency pays commission for the lifetime of the active service, billed per service period. The Affiliate's portal flags such referrals as "lifetime".
5. Volume Tiers (Bonus)
Closed real estate deals are tracked lifetime and earn a tier upgrade:
- Bronze: 0 – 4 deals (base rate)
- Silver: 5 – 14 deals (+1% bonus on future commissions)
- Gold: 15 – 29 deals (+2% bonus)
- Platinum: 30+ deals (+3% bonus)
Tier bonuses are applied as a separate "bonus_tier_up" commission row at the time of payout.
6. Acceptance Window
The Agency confirms acceptance, rejection, or duplicate status of every referral within 3 business days of submission. If no response is given within this window, the referral is automatically deemed accepted for tracking purposes.
7. Payment Terms
Commission is paid within 30 days of the Agency receiving its commission from the developer or counterparty, by bank transfer (or alternative method agreed in writing) in AED to the payout details on file in the Affiliate's portal.
8. Exclusivity & Duration
This agreement runs for an initial term of one (1) year and renews automatically for successive 1-year periods unless terminated by either party with 30 days' written notice. The Affiliate acknowledges that the Agency operates on a non-exclusive basis.
9. Conduct
The Affiliate must not misrepresent the Agency, make false promises regarding properties or returns, or use the Agency's brand without prior written approval. Spam, harvested contacts, and purchased lead lists are prohibited and will result in immediate termination and forfeiture of pending commissions.
10. Data Protection
Personal data submitted via the Client Search Profile is processed by the Agency for the purpose of pursuing the introduction. The Affiliate confirms the Referred Client has consented to this introduction.
11. Governing Law
This Agreement is governed by the laws of the United Arab Emirates. Disputes shall be resolved in the courts of Dubai.
